Terms of Service

These Terms of Service (“Terms”) govern the use of services provided by Ivapix Cloud (“Ivapix”, “Company”, “we”, “us”, or “our”), including managed hosting infrastructure, DNS services, domain services, and the Ivapix platform (collectively the “Services”).

By accessing or using the Services, creating an account, or purchasing services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

1. Services

Ivapix provides a managed hosting platform and related digital infrastructure services including:

  • Managed WordPress hosting
  • DNS management services
  • Domain services
  • Website deployment and management tools
  • Platform control panel and automation tools
  • Performance optimization and security services

Ivapix may modify, update, or discontinue Services or platform features at any time.

2. Account Registration

To access Services, customers must create an account.

You agree to:

  • provide accurate and current information
  • maintain the security of login credentials
  • accept responsibility for activities performed under your account

Ivapix is not responsible for unauthorized account access caused by compromised credentials.

Users must have legal authority to bind their organization to these Terms.

3. Customer Responsibilities

Customers are responsible for:

  • all websites and applications hosted on Ivapix infrastructure
  • maintaining secure administrative access
  • ensuring compliance with applicable laws
  • maintaining compatibility of installed software

Customers remain responsible for the operation and maintenance of their websites.

4. Acceptable Use

All use of Ivapix Services must comply with the Ivapix Acceptable Use Policy (AUP).

Prohibited activities include but are not limited to:

  • malware distribution
  • phishing or fraud
  • spam or unsolicited bulk messaging
  • copyright infringement
  • illegal content
  • attempts to disrupt infrastructure

Ivapix reserves the right to suspend or terminate Services that violate these policies.

5. Customer Content

Customers retain ownership of all content hosted using the Services.

By using the Services, customers grant Ivapix a limited license to:

  • store
  • process
  • transmit
  • back up

Customer content solely for the purpose of providing the Services.

Ivapix does not claim ownership of customer content.

6. WordPress Platform and Third-Party Software

Ivapix Services support websites built using WordPress and may allow installation of third-party software including plugins, themes, extensions, integrations, or custom code (“Third-Party Software”).

Ivapix does not develop, audit, or maintain most Third-Party Software.

Ivapix makes no warranties regarding the security, compatibility, or reliability of such software.

Customers are solely responsible for installing, maintaining, and updating Third-Party Software.

Ivapix shall not be liable for damages or disruptions caused by Third-Party Software.

Plugin and Theme Update Conflicts

Updates to WordPress core, plugins, or themes may cause compatibility conflicts.

Ivapix may provide tools such as staging environments but does not guarantee compatibility.

Customers are responsible for testing updates and verifying website functionality.

Ivapix is not liable for issues caused by update conflicts.

Compromised Websites and Malware

If a website becomes compromised due to vulnerabilities in WordPress core, plugins, themes, integrations, or customer-developed code, the customer remains responsible for remediation.

Ivapix may:

  • isolate affected services
  • disable vulnerable components
  • temporarily suspend compromised sites

Malware cleanup or security remediation services may be offered but may incur additional fees.

Ivapix is not liable for damages resulting from compromised websites.

7. Resource Usage and Fair Use

Customers must use system resources responsibly.

Ivapix may restrict or suspend services that:

  • excessively consume CPU, RAM, storage, or network resources
  • degrade platform stability
  • negatively impact other customers

Ivapix may require customers to upgrade plans if resource usage exceeds reasonable limits.

8. Automated Traffic, Crawlers, and Traffic Spikes

Websites hosted on Ivapix infrastructure may experience traffic generated by automated systems including web crawlers, AI training crawlers, scraping tools, monitoring systems, or automated scripts.

Ivapix does not guarantee that the platform will support unlimited traffic volumes.

Customers are responsible for implementing traffic protection measures including caching, rate limiting, and bot protection.

If automated traffic, scraping activity, or sudden traffic spikes negatively impact platform stability, Ivapix may take protective action including:

  • traffic throttling
  • rate limiting
  • restricting automated requests
  • temporarily suspending affected services
  • requiring plan upgrades

Ivapix is not liable for downtime or degraded performance caused by extraordinary traffic volumes or automated systems.

9. Data and Backups

Ivapix may provide automated backups.

However:

  • backups are not guaranteed
  • customers remain responsible for maintaining independent backups

Ivapix is not liable for data loss or inability to restore backups.

10. Service Availability

Services are provided on an “as-is” and “as-available” basis.

Ivapix does not guarantee uninterrupted operation unless defined in a Service Level Agreement (SLA).

Maintenance or emergency security actions may temporarily affect service availability.

11. Migration Services

Ivapix may offer website migration services.

Migration services are provided without warranty.

Ivapix is not responsible for issues resulting from migration including:

  • incomplete transfers
  • broken functionality
  • configuration conflicts.

Customers are responsible for verifying website functionality after migration.

12. Suspension and Termination

Ivapix may suspend or terminate services if:

  • these Terms are violated
  • payment obligations are not met
  • hosted content creates security risks
  • resource usage threatens infrastructure stability

Ivapix may suspend services immediately without prior notice in urgent situations.

13. Fees and Billing

Customers agree to pay all applicable service fees.

Billing may include:

  • recurring subscription charges
  • automatic renewals
  • upfront payments

Failure to pay invoices may result in service suspension or termination.

14. Refunds

Refund eligibility is governed by the Ivapix Refund Policy.

Certain services are non-refundable including:

  • domain registrations
  • third-party licenses
  • provisioned add-ons.
15. Domain Services

Domain services may be subject to registry rules and ICANN policies.

Customers must maintain accurate WHOIS information.

Domains may be suspended when required by registries or legal authorities.

16. Intellectual Property

All Ivapix technology, platform software, and trademarks remain the property of Ivapix.

Customers may not reverse engineer, copy, or reproduce Ivapix systems.

17. Limitation of Liability

To the maximum extent permitted by law, Ivapix shall not be liable for:

  • indirect damages
  • lost profits
  • business interruption
  • data loss
  • reputational damage.

Total liability shall not exceed the amount paid by the customer during the previous twelve (12) months.

18. Indemnification

Customers agree to indemnify Ivapix from claims arising from:

  • hosted content
  • misuse of Services
  • violations of laws or regulations.
19. Copyright and DMCA

Ivapix respects intellectual property rights.

Copyright complaints may be submitted including identification of copyrighted material and location of the alleged infringement.

Ivapix may remove infringing material when appropriate.

20. Third-Party Services

Ivapix may rely on third-party providers including cloud infrastructure providers, registries, and payment processors.

Ivapix is not responsible for interruptions caused by third-party systems.

21. Beta Services

Ivapix may offer experimental or beta features.

Beta services may contain errors and are provided without warranties.

Ivapix may modify or discontinue beta services at any time.

22. Force Majeure

Ivapix shall not be liable for service interruptions caused by events beyond reasonable control including natural disasters, war, government actions, internet failures, power outages, or datacenter disruptions.

23. Assignment

Ivapix may assign these Terms in connection with mergers, acquisitions, corporate restructuring, or sale of assets.

Customers may not assign their rights without written consent.

24. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, unless otherwise required by applicable law.

25. Governing Language

If these Terms are translated into other languages, the English version shall prevail.

26. Changes to Terms

Ivapix may update these Terms from time to time.

Updated Terms will be published on the Ivapix website and continued use of the Services constitutes acceptance.
